Last updated: October 2026

These Terms and Conditions ("Terms") govern your access to and use of the website at aivantatechnologiesltd.com (the "Website") and the digital marketing and related services (the "Services") provided by Aivanta Technologies LTD ("Aivanta Technologies", "we", "us", or "our"). By accessing the Website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or our Services.

1. About Us

Aivanta Technologies LTD provides workflow optimisation consulting services to businesses looking to improve how their teams, tasks, and operational processes are organised.

2. Use of the Website

You may use the Website for lawful purposes only. You agree not to:

Use the Website in any way that breaches applicable laws or regulations;
Attempt to gain unauthorised access to the Website, its servers, or connected systems;
Introduce malicious code or interfere with the proper operation of the Website;
Copy, reproduce, or republish Website content without our prior written consent.

3. Services and Engagements

The specific deliverables, fees, timelines, and performance expectations for any Services are defined in a separate written agreement between Aivanta Technologies LTD and the client. Where there is any conflict between these Terms and a signed agreement, the signed agreement prevails for that engagement.

Information on the Website is provided for general guidance only and does not constitute a binding offer or professional advice on which you should rely without a formal engagement.

Digital marketing results depend on many factors outside our sole control, including third-party platforms, market conditions, and client-supplied materials and access. Except where expressly stated in a signed agreement, we do not guarantee any specific results, rankings, traffic, conversion, or revenue outcomes.

4. Client Responsibilities

Where you engage our Services, you agree to provide accurate information, timely approvals, and any access, accounts, assets, brand guidelines, or analytics and advertising platform permissions reasonably required for us to perform the Services.

You are responsible for ensuring that any materials, products, claims, landing pages, or offers you supply or ask us to promote are accurate, lawful, and do not infringe third-party rights.

You acknowledge that our Services are delivered through third-party platforms (such as Google, Meta, and other advertising, social, and analytics networks), and that all activity must comply with those platforms' policies. We are not responsible for any account suspension, ad disapproval, or restriction imposed by a third-party platform, including where it results from your products, claims, or materials.

5. Fees and Payment

Fees, billing frequency, and payment terms are set out in the applicable proposal or service agreement. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice.

Third-party media spend (for example advertising platform costs) is the client's responsibility unless expressly included in the agreed fee.

6. Intellectual Property

All content on the Website — including text, graphics, logos, the Aivanta Technologies LTD name and brand, design elements, and software — is owned by or licensed to us and is protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to view the Website for your own informational use. Ownership of deliverables produced under a client engagement is governed by the relevant service agreement.

7. Third-Party Platforms and Links

The Website and our Services may reference, integrate with, or link to third-party platforms and tools (such as advertising, analytics, and social media platforms). We do not control and are not responsible for the content, availability, terms, or practices of any third party. Your use of any third-party platform is subject to that party's own terms.

8. Disclaimers

The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, express or implied, including as to accuracy, completeness, fitness for a particular purpose, and non-infringement.

We do not warrant that the Website will be uninterrupted, secure, or error-free.

9. Limitation of Liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by negligence or for fraud.

Subject to the above, to the fullest extent permitted by law: (a) we shall not be liable for any indirect, special, or consequential loss, loss of profit, loss of business, loss of data, or loss of goodwill arising from your use of the Website; and (b) our total aggregate liability arising out of or in connection with the Website (excluding paid Services, which are governed by the relevant engagement agreement) shall not exceed EUR 100.

10. Indemnity

You agree to indemnify and hold harmless Aivanta Technologies LTD and its directors, officers, employees, and agents from any claims, losses, liabilities, and reasonable expenses arising from your breach of these Terms, your misuse of the Website, or materials you supply to us.

11. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. The current version is always posted on this page with the "Last updated" date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the law of England and Wales. The courts of England shall have exclusive jurisdiction, save that we retain the right to bring proceedings in any jurisdiction where you are based or where a breach occurred.
